Knowify Customer Referral Program Terms & Conditions

These Referral Program Terms & Conditions (“Referral Terms”) are an addendum to and governed by Knowify’s existing Terms of Service (the “Master Terms”). To the extent there is a conflict between these Referral Terms and the Master Terms, these Referral Terms will control solely with respect to the Referral Program. All capitalized terms not defined below have the meaning given in the Master Terms.

By participating in Knowify’s Customer Referral Program (the “Program”), you agree to these Referral Terms and acknowledge that you also remain bound by the Master Terms.

1. Eligibility

• The Program is open only to existing Knowify customers in good standing.

• A “Referral” must be new to Knowify (i.e. not previously in trial, in sales pipeline, or otherwise associated with a Knowify account).

• Self-referrals and referrals within your own organization are disallowed.

2. Referral Reward

• For each qualifying Referral, you become eligible to receive a $500 Visa® gift card via Tremendous.

• Rewards are sent via email to your email address on file with Knowify.

• There is no differentiation between monthly or annual subscriptions in determining reward eligibility.

3. Reward Conditions

To qualify:

1. The Referred Customer must activate a subscription to Knowify (monthly or annual).

2. The Referred Customer must remain active and in good standing for at least 90 days from the subscription date.

3. Only after such 90-day period will the reward be processed and issued.

4. Knowify reserves the right to verify the validity of each Referral before approving the reward.

4. Annual Reward Cap

• You may receive a maximum of $2,000 in Referral Rewards per calendar year.

• Once you reach this cap, no further rewards will be granted in that year, even if additional Referrals qualify.

5. Referral Process

• Referrals must be submitted via Knowify’s designated referral form or referral link.

• The referral form must include your full name and your Knowify-associated email address.

• The Referred Customer must identify you as the referrer during their Knowify signup so proper tracking and attribution is ensured.

6. Payment Mechanism

• Rewards will be distributed only via Tremendous in the form of a Visa® gift card, delivered electronically.

• No cash payments, PayPal transfers, or alternative methods will be supported.

• The terms and conditions of the gift card itself are governed by Tremendous and the card issuer.

7. Taxes and Reporting

• Rewards may constitute taxable income. You are responsible for any tax obligations arising from rewards you receive.

• If required by law, Knowify or Tremendous may request taxpayer information (e.g. W-9 or W-8) and issue IRS Form 1099-MISC, 1099-NEC, or 1099-K for total annual rewards exceeding $2,000.

8. Verification, Fraud & Disqualification

• Knowify reserves sole discretion to investigate, audit, and verify all Referrals.

• Referrals found to be invalid, duplicated, or fraudulent are subject to disqualification and forfeiture of rewards.

• Knowify may suspend or revoke your participation if it suspects abuse, misrepresentation, or violation of these terms or the Master Terms.

9. Modifications & Termination

• Knowify may modify, suspend, or terminate the Program or these Referral Terms at any time, without notice.

• Changes will not affect Referrals already submitted and verified prior to the change taking effect.

• You are responsible for reviewing these Referral Terms periodically. Continued participation after changes constitutes acceptance.

10. Dispute Resolution & Governing Law

• Disputes under these Referral Terms or arising from the Program are governed by the dispute resolution, venue, class action waiver and other procedural provisions of the Master Terms. (See “Dispute Resolution” section of the Knowify Terms of Service.) Knowify

11. Indemnification & Liability

• You agree to indemnify, defend, and hold Knowify and its affiliates harmless from any loss, liability, damage, claim, or expense arising out of your participation in the Referral Program or any violations of these Referral Terms.

• Knowify’s liability to you for any cause related to the Referral Program is limited to the extent provided in the Master Terms.

12. Miscellaneous

• These Referral Terms, together with the Master Terms, constitute the entire agreement between you and Knowify regarding referral rewards.

• If any provision of these Referral Terms is found to be invalid or unenforceable, it will be severed without affecting the remainder.

• No waiver by Knowify of any breach or default shall be deemed a waiver of any other.

• All notices and communications under these Referral Terms shall follow the notice procedures in the Master Terms.

By participating in the Referral Program, you confirm that you have read, understood, and agreed to both these Referral Terms and Knowify’s Master Terms of Service.
